1. THE SUBJECT OF THE AGREEMENT

2. RIGHTS AND OBLIGATIONS OF THE PARTIES

2.1. The expedition undertakes:

2.1.1. Receive and store on demand coming to the Customer's address: correspondence - letters, parcels.

2.1.2. Inform the Customer by phone about the incoming correspondence.

2.1.3. Do not disclose the information contained in the correspondence received and sent by the Customer.

2.2. The customer undertakes:

2.2.1. Deliver the dispatched correspondence to the Expedition.

2.2.2. Receive incoming mail by notification.

2.2.3. Make monthly payments of postage bills issued by the Expedition. Payment is made to the account.

2.2.4. Make payment for the services of the Expedition employees in accordance with clause 3 of this agreement on time.

3. SETTLEMENTS BY THE PARTIES

3.1. The Customer makes monthly payments for the work of the Expedition employees in the amount of rubles per month on the basis of an employment agreement concluded with the employees (employee) of the Expedition, which is an integral part of this agreement.

3.2. Payment for the month worked must be made no later than the next month.

3.3. The amount of payment in connection with inflationary processes can be changed by mutual agreement of the parties.

4. AMENDMENT AND TERMINATION OF THE CONTRACT

4.1. This agreement may be amended, supplemented and extended by mutual additional agreement of the parties.

4.2. The contract may be terminated:

  • by mutual agreement of the parties;
  • unilaterally, after prior (for) written notification of the interested party;
  • automatically, in case of violation of one of the parties of its obligations.

4.3. Upon termination of the contract, the Customer undertakes to pay the cost of the work completed by the Expedition.

5. OTHER TERMS

5.1. If disputes arise between the parties, they are resolved in accordance with applicable law.

5.2. The Agreement is made in two copies and is kept one by each of the parties.

5.3. The term of the contract is from ""2019 to ""2019.

  1. Subject of the contract

      In accordance with this agreement, the Contractor undertakes, on the instructions of the Customer, to provide the latter with the services specified in paragraph 1.2 of this agreement, and the Customer undertakes to accept these services and pay.

      The Contractor undertakes to provide the Customer with the following services:

      1.         Arrange the transportation of cargo across the territory of the city of Moscow and the Moscow region in accordance with Appendix No. 5 to this agreement and hand over the cargo to the recipient;

        Organize the transportation of cargo to the countries of near and far abroad along the routes specified in Appendices No. 6, No. 7 to this agreement, and hand over the cargo to the recipient;

        At the written instruction of the Customer, pack the goods in the manner specified in clause 3.1. actual agreement;

        Conclude with the insurer, at the direction of the Customer, an insurance contract for a postal item or cargo accepted for delivery under this agreement, on its own behalf, at the expense of the Customer, where the beneficiary is the sender or recipient of the postal item or cargo, in accordance with the conditions set forth in the general insurance contract and Appendix No. 9 to the contract;

        The Contractor provides the listed services and performs in connection with this all the necessary actions personally. The Contractor has the right, if necessary, to involve third parties to fulfill its obligations under the contract, while remaining responsible to the Customer for their actions, as well as for the safety of the cargo or postal item.

      Postal items or cargoes are handed over to the recipient according to the invoice (Appendix No. 10) indicating the date and time of delivery, and undelivered items are returned to the sender in the manner prescribed by the current contract.

      All postal items or cargo are considered accepted without declared value, unless the Customer has instructed the Contractor to conclude an insurance contract for cargo and / or postal items. In this case, in the consignment note in the columns "insurance" it is necessary to put a mark in the column "Not insured", and in the columns "insurable value", "amount of insurance", "declared value of the item (in words)", as well as in the column "note and description departures” is marked with a dash. Completion by the Customer of the columns "insurance", "insurance value", "amount of insurance", "declared value of the shipment (in words)" and the columns "note and description of the shipment" is considered an instruction to the Contractor to conclude an insurance contract with the insurer on the terms specified in this contract, as if the Contractor gave such an indication to the Customer in the application-order in accordance with clause 2.2.1 of the agreement.

      In everything that is not provided for by this agreement in terms of the provision of services for organizing the delivery of goods or mail, the parties are guided by the "Agreement on the transport expedition" (Appendix No. 8 to this agreement) and the current legislation of the Russian Federation.

    DUTIES OF THE PARTIES

      Under this agreement, the Contractor undertakes:

      1. Properly, in accordance with the terms of this agreement, provide the services listed in clause 1.2 of this agreement;

        To produce, at the written instruction of the Customer, special packaging of the postal item or cargo;

        Return undelivered postal items or cargo to the sender if the recipient at the time of re-delivery is not available at the address specified by the Customer and / or it was not possible to find out his new address. The term for the return of the shipment must not exceed the delivery time provided for by this Agreement and its annexes;

2.1.4. Comply with the terms of delivery of postal items or goods specified in the Annexes to this agreement;

2.1.5. Do not disclose or transfer to third parties the addresses of recipients of postal items and cargo, and their composition, which became known to the Contractor in the process of fulfilling its obligations under the contract, during the entire term of this contract, except as otherwise provided by the current legislation of the Russian Federation. The confidentiality obligation specified in this clause of the agreement shall remain in force for one year after the expiration of the agreement;

2.1.6. Not later than five working days from the date of signing this contract, conclude for the entire period of its validity on its own behalf a general contract for insurance of postal items and cargo with the insurer specified in Appendix No. 9 to this contract;

2.1.7. Within 1 (one) day from the date of sending the postal item or cargo, he is obliged to submit a notice to the insurance company for insurance of this postal item or cargo.

2.2. Within the scope of this agreement, the Customer undertakes:

2.2.1. Fill out an application-order for the provision of services under this agreement in a timely manner in accordance with the regime established in clause 2.2.7 of the agreement. In the application-order it is necessary to specify: type of departure (postal or cargo); the value of the shipment; the name, address and contact information of the recipient, the need for the Contractor to provide additional services, the need to insure the shipment (cargo), determine the party carrying out loading and unloading operations, as well as indicate other necessary information;

2.2.2. Ensure the necessary registration and preparation of the mail or cargo for shipment: clearly and clearly indicate the delivery address of the mail or cargo, phone number, contact person, name of the organization and other necessary information in accordance with this agreement;

2.2.3. Timely and in full pay for the services of the Contractor;

2.2.4. Pay for the return of undelivered mail or cargo in the manner specified in clause 3.6 of this agreement;

2.2.5. Do not transfer to the Contractor for delivery in postal items or cargo items withdrawn from civil circulation in accordance with the current legislation of the Russian Federation, namely: weapons, explosive and poisonous, combustible, narcotic substances;

2.2.6. Do not transfer to the Contractor for delivery the currency of any countries, including the Russian Federation, precious metals and jewelry, identity documents of citizens, as well as other items prohibited for delivery in postal items and as cargo in accordance with the current the legislation of the Russian Federation;

2.2.7. Fill out an application-order by phone or e-mail with subsequent confirmation of its receipt by phone in the mode indicated below (Moscow time):

    by foot courier before 12:00 on the current day, after 12:00 on the next day,

    for a passenger car before 12:00 on the current day, after 12:00 on the next day,

    on a truck until 18:00 the next day.

2.3. At the time of sending (loading) the cargo or postal item, the parties draw up a written invoice according to the model specified in Appendix No. 10 to the agreement, which must be signed by authorized representatives of the parties.

In the invoice, the authorized representative of the Customer indicates:

2.3.1. Type of departure (postal item or cargo);

2.3.2. The value of the shipment (with or without a declared value);

2.3.3. Name of the recipient of the postal item or cargo, its exact address and contact information of the recipient, which includes the following: last name, first name, patronymic of the person responsible for receiving the postal item or cargo, if the recipient is a legal entity, telephone number, including mobile ;

2.3.4. The need for the Contractor to provide additional services, namely: packaging and sorting.

2.4. When sending goods with a declared value of more than 5,000,000 (five million) rubles, including VAT at the time of shipment: the terms of delivery, the responsibility of the Parties, the terms of insurance of such goods and other conditions are negotiated by the parties separately and agreed by signing an Additional Agreement to this Agreement.
